Terms of Use
1. Identification and Acceptance
Este documento constitui o acordo juridicamente vinculativo entre Mampassar Company, designação comercial de empresário em nome individual, NIF 333839714, com morada na Praceta Augusto Gil, n.º 2, Miratejo, Portugal, que opera sob a marca "Buildflow" (doravante "Buildflow", "nós") e a pessoa singular ou colectiva que se regista ("Cliente", "utilizador"). Ao assinalar a caixa de aceitação e criar uma conta, o Cliente declara que leu, compreendeu e aceita integralmente estes Termos e a Política de Privacidade. Se não concordar, não deve utilizar o serviço.
2. Description of the Service
Buildflow is a SaaS platform supporting the management of construction companies (projects, workers, quotes, finances, communication and productivity tools), delivered through a browser. It is an organisational tool and does not replace professional advice (see section 13).
3. Eligibility and Authority
The Customer declares that it is at least 18 years old and has legal capacity to contract. Anyone registering on behalf of a company declares that they have authority to bind it to these Terms.
4. Account and Security
The Customer is solely responsible for keeping credentials confidential and for all activity carried out on its account and on the accounts of the users it invites. It must notify us immediately of any unauthorised use. We are not liable for losses arising from a failure to meet this duty.
5. Plans, Payments and Renewal
Os planos (Starter €49/mês, Pro €99/mês, Enterprise €149/mês) são cobrados mensalmente e de forma antecipada, com automatic renewal, através do processador de pagamentos. O Cliente autoriza a cobrança recorrente até cancelar. Salvo imposição legal, os pagamentos não são reembolsáveis, incluindo períodos parciais. Os preços podem ser alterados com aviso prévio de 30 dias.
6. Trial Period
The 14-day free trial is provided "as is", without any warranty, and may be modified or ended at any time.
7. Customer Data and Ownership
Data entered by the Customer remains the property of the Customer. Buildflow claims no ownership over that data and uses it only to provide and improve the service, under the terms of the Privacy Policy.
8. Responsibility for Customer Content and Data
O Cliente é o sole controller pela exactidão, legalidade e licitude de todos os dados que introduz, incluindo dados pessoais de trabalhadores, candidatos e terceiros. Quanto a esses dados pessoais, o the customer acts as data controller e a Buildflow como subcontratante. O Cliente garante que dispõe de base legal (por ex., contrato de trabalho ou consentimento) para os tratar e obriga-se a cumprir o RGPD e a legislação laboral aplicável. A Buildflow não verifica nem responde pelo conteúdo introduzido pelo Cliente.
9. Acceptable Use
The Customer undertakes not to: (a) use the service for unlawful, fraudulent or unauthorised purposes; (b) upload data without a legal basis or that infringes third-party rights; (c) attempt to access, test or compromise the security of the system, reverse engineer it, overload the infrastructure or extract data in bulk; (d) resell the service without authorisation. A breach allows the account to be suspended or closed immediately, without refund.
10. Disclaimer of Warranties
O serviço é fornecido "as is" and "as available", sem garantias de qualquer tipo, expressas ou implícitas, incluindo garantias de comercialização, adequação a um fim específico, exactidão de resultados ou funcionamento ininterrupto e isento de erros. O Cliente utiliza o serviço por sua conta e risco.
11. Limitation of Liability
Na máxima medida permitida por lei, a Buildflow, os seus sócios, colaboradores e fornecedores não são responsáveis por quaisquer danos indirectos, incidentais, especiais, punitivos ou consequenciais, nem por perda de lucros, receitas, dados, clientela ou oportunidades de negócio, ainda que avisados dessa possibilidade. A responsabilidade total e agregada da Buildflow, por qualquer causa, está limitada ao montante efectivamente pago pelo Cliente nos 3 months anteriores ao facto que a originou.
12. Indemnity
The Customer undertakes to defend, indemnify and hold harmless Buildflow and the persons associated with it from any claims, losses, damages, fines and expenses (including legal fees) arising from: (a) use of the service by the Customer or its users; (b) data or content it has entered; (c) breach of these Terms, of third-party rights or of applicable law, including data protection and employment legislation.
13. No Professional Advice
Buildflow is a piece of software. It does not provide legal, tax, accounting, employment or health and safety advice. Calculations (for example, hours and pay), reports and suggestions, including those produced by artificial intelligence features, are indicative only and may contain errors. All decisions and compliance with legal obligations rest solely with the Customer, who must have the information validated by qualified professionals.
14. Third-Party Services and Availability
Buildflow endeavours to keep the service available, but does not guarantee any particular level of availability and may suspend it for maintenance. The service depends on third-party providers (hosting, payments, email, messaging, AI); Buildflow is not answerable for failures, interruptions or acts of those third parties.
15. Force Majeure
Buildflow is not liable for failures caused by matters outside its reasonable control, including network or provider failures, cyberattacks, disasters, acts of authorities or interruptions to power or telecommunications.
16. Intellectual Property
The platform, the software, the "Buildflow" trade mark, the design and all content are the property of Buildflow and are protected by law. The Customer is granted only a limited, non-exclusive, non-transferable and revocable licence to use them, for the duration of the subscription.
17. Suspension and Termination
Either party may terminate on notice. Buildflow may suspend or close accounts that breach these Terms, have payments outstanding or present a security risk, without refund. After termination, data remains available for export for 30 days and is then deleted, save where there is a legal duty to retain it.
18. Changes to the Terms
These Terms may be changed. Material changes will be notified with reasonable advance notice by email or on the platform. Continued use after they take effect constitutes acceptance of the changes.
19. General Provisions
If any clause is held to be invalid, the remainder stay in force. Not enforcing a right does not amount to waiving it. The Customer may not assign this contract without authorisation; Buildflow may assign it as part of a reorganisation. These Terms and the Privacy Policy constitute the entire agreement between the parties.
20. Governing Law and Jurisdiction
These Terms are governed by Portuguese law. The courts of the district of Lisbon, Portugal, have jurisdiction over any dispute, to the exclusion of any other, without prejudice to mandatory consumer rights where applicable.
